Service Agreement

Please review the terms and conditions governing your enrollment and use of the Synthetix Design Academy platform. These terms define our mutual obligations and ensure a professional learning environment.

1. Service Provider and Legal Entity

These Terms & Conditions constitute a legally binding agreement between you (the 'Student', 'User', or 'Client') and Synthetix AI Education Group LLC, a limited liability company organized and existing under the laws of the State of California, United States of America (Company Registration Number: C4582910, VAT/Tax ID: 95-4820193), hereafter referred to as 'Synthetix Academy', 'the Academy', or 'we'. By accessing our website, utilizing our educational resources, or enrolling in our courses, you confirm that you have read, understood, and agreed to be bound by these terms in their entirety.

If you are entering into this agreement on behalf of a corporate entity (for Enterprise training), you represent that you have the legal authority to bind that entity to these terms.

2. Detailed Description of Services

Synthetix Academy provides advanced vocational and professional training services focusing on the intersection of digital design and generative artificial intelligence. Our primary service offerings include:

  • Instructional Content: Access to our proprietary 'Neural Aesthetic Logic', 'Advanced Prompting', and 'AI-UX Systems' curriculum modules.
  • Live Instruction: Participation in synchronous workshops, critiques, and mentorship sessions led by industry practitioners.
  • Managed AI Access: Provision of enterprise-level access to third-party generative engines (including Midjourney, ChatGPT, and Claude) strictly for educational and project-related purposes within the Academy's frameworks.
  • Certification: The issuance of a digital 'AI Design Master' badge and completion certificate upon successful fulfillment of all course requirements.

Services are delivered through our secure virtual learning environment and, for specific cohorts, at our physical campus located at 156 2nd Street, Floor 3, San Francisco, CA 94105, USA.

3. User Obligations and Code of Conduct

To maintain the integrity and quality of the learning environment, all users of the Synthetix Academy platform agree to the following obligations:

  • Accuracy of Information: You must provide truthful and accurate information during the application and enrollment process. Failure to do so may result in immediate termination of service without refund.
  • Ethical AI Usage: You agree to use all generative AI tools in accordance with the Academy's 'Ethical AI Implementation' guidelines. This includes avoiding the generation of harmful, deceptive, or copyright-infringing content.
  • Intellectual Property Respect: You must respect the copyright of the Academy's curriculum materials and the original creative works of your fellow students.
  • Credential Security: You are responsible for maintaining the confidentiality of your platform login credentials and for all activities that occur under your account.
  • Professionalism: You agree to interact with instructors and peers in a professional and respectful manner, fostering a collaborative and inclusive atmosphere.

4. Payment Terms, Tuition, and Refunds

Enrollment in our courses requires the payment of tuition fees as specified on our official pricing page at the time of registration. All prices are in US Dollars (USD) unless otherwise stated. For cohort-based tracks, a non-refundable registration deposit is required to secure a position. Full tuition must be paid according to the agreed-upon schedule (either upfront or via an approved monthly payment plan) before the commencement of the second module.

Our refund policy is rigorously designed to meet the standards set by the Bureau for Private Postsecondary Education (BPPE) in California. Students have the right to cancel their enrollment and receive a pro-rata refund for the unused portion of the course, subject to the administrative fee disclosed at the time of signing the enrollment agreement. All refund requests must be submitted in writing to [email protected].

5. Intellectual Property and Asset Ownership

The ownership of creative assets produced during the course of study is governed by the following framework:

  • Curriculum Materials: All text, videos, logical frameworks (including the 'Observe, Prompt, Refine' methodology), and proprietary datasets provided by the Academy remain the exclusive intellectual property of Synthetix AI Education Group LLC. These materials are licensed to you for personal, educational use only and may not be redistributed or used for commercial training purposes.
  • Student Work: You retain ownership of the original prompts you engineer and the final creative outputs (websites, UI systems, etc.) you produce, subject to the terms of service of the third-party AI engines used during the process.
  • Showcase License: By enrolling, you grant Synthetix Academy a non-exclusive, worldwide, royalty-free license to display your project work in our student gallery, marketing materials, and industry reports for the purpose of demonstrating the Academy's educational outcomes.

6. Limitation of Liability and Third-Party Tools

Synthetix Academy provides training in the use of third-party generative technologies. We do not own, control, or operate these underlying engines (e.g., Midjourney, ChatGPT). Consequently, the Academy is not responsible for any service interruptions, unexpected changes in tool functionality, or the quality/content of the outputs generated by these external systems. To the maximum extent permitted by applicable law, Synthetix AI Education Group LLC shall not be liable for any direct, indirect, incidental, or consequential damages resulting from your use of these tools or your reliance on our educational content.

Furthermore, while we provide career coaching and job placement assistance, the Academy does not guarantee specific employment outcomes, salary levels, or professional advancement as a result of completing our programs.

7. Dispute Resolution and Governing Law

This agreement and any dispute arising out of or in connection with it shall be governed by and construed in accordance with the laws of the State of California, United States of America, without regard to its conflict of law principles. Any legal action or proceeding related to this agreement shall be brought exclusively in the state or federal courts located in the City and County of San Francisco, California.

In the event of a dispute, both parties agree to first attempt to resolve the matter through good-faith informal negotiations for a period of at least thirty (30) days. If such negotiations fail, the dispute shall be submitted to binding arbitration under the rules of the American Arbitration Association (AAA).

8. Termination and Modification of Service

The Academy reserves the right to suspend or terminate your access to our platform and services, without refund, if you are found to be in material breach of these Terms & Conditions or our Code of Conduct. We also reserve the right to modify the curriculum or the specific AI tools provided to ensure the program remains aligned with the latest technological developments in the industry.

We may update these Terms & Conditions from time to time. The most current version will always be posted on this page with the 'Last Updated' date clearly visible. Continued use of our services following such updates constitutes your acceptance of the revised terms.
